    Shareholders EGM called for removal of Directors
    Majority of shareholders of Pvt.Ltd.Co. have called an EGM for removal of Directors. Can permanent Directors be also removed. Under what sections Of a Pvt.Ltd. Co. can permanent Directors be removed by explaining what the sections are?

    Deepak, the Companies Act contains the detailed procedures for appointment and removal of directors. The shareholders can remove only those directors that were elected by them, If the permanent directors were appointed by the shareholders, they can be removed by making alterations in the Articles of Association. Of course, since egm is for a special business, the legal provisions governing special business must be followed.
