Deepak, the Companies Act contains the detailed procedures for appointment and removal of directors. The shareholders can remove only those directors that were elected by them, If the permanent directors were appointed by the shareholders, they can be removed by making alterations in the Articles of Association. Of course, since egm is for a special business, the legal provisions governing special business must be followed.
