    Termination agreement
    In establishing a startup partnership with limited liability in the US with two equal partners, how can we write right a termination agreement that in the event of a dispute enables one party to sell his shares at a fair market price and provides first option on the shares to the remaining partner? One owner is a non-profit organization which is not a US citizen/resident.

    What sort of business is this concerning, please? It would really be helpful to know that. Also, what specifically do you mean by "two equal partners"?
