    Can I incorporate in another state than I'm physically in?
    I'm interested in opening up an internet co and don't want to collect sales taxes in ny so I was curious if it made sense to incorporate in pensylvania?

    Why not incorporate in either Nevada or Delaware instead? They are easier states to set up corporations in - at least they used to be years ago when I would do the paperwork for incorporations at an attorney's office.

    I'm sure you realize that NY has really cracked down in sales tax - at one time NY didn't collect unless there was an office in NY, sales there didn't matter.

    Now they are interpreting the law to mean that anyone who does business in NY pays sales tax no matter where the office is located.

    Incorporating at this time with a bankruptcy pending may not be a good idea and will only muddy the bankruptcy waters.

    You may incorporate in any state but will need to have a registered agent
    * you will find companies that do that for you, to receive legal service and notice in the state you file in.
