    If a closely held (S corp) is sold, is the goodwill value capital gain?
    I just want to know if I can claim gains from goodwill as a capital gain, or if it needs to be considered ordinary income.

    Wow, that is a REAL complex tax question, well beyond the level of sophistication for this forum, so I understand why no one has answered it.
