    Does the shareholder have right to disturb the director to manage the company?
    Does the shareholder have right to disturb the director to manage the company? Can the Shareholder disemploy the director simply?

    Not unless you own a controlling share of the voting stock, in which case you would control the corporoation.
    Look at it like this, you pay your taxes which in turn pay the police... ever try telling a cop to not give you a speeding ticket because you pay his salary? ;)

    A shareholder except acting at their meetings through the board of directors do not have the authority to act. The shareholders will have to have meeting and make motions and vote.

    Also depends on the nature of the shares hel. Not all shares are voting shares.

    But the bottom line here is shareholders can't act on their own, they have to go through the board.
