    I want to ask about the special protection to the minority shareholders in a company. Did Section 20(2)(a) ultra vires related to the special protection?

    Since we have people from 100's of countries, you will need to specify what country, if in the US is this federal or state law and if you quote a section of section from what code section

    And you can look up most US codes by merely typeing them into a web search and look it up.

    Assuming this is homework, you should have that section to refer back to, or have been told where to find it.
