I received a 5 day pay or quit and it has gone well over the date.. I have my rent in hand but the landlord won't accept unless I pay all late fees and rent.. Do I have any rights as of now

No, sorry, you must pay the late fee if that is spelled out in your lease. What does the lease say about late fees? You can actually be evicted if you are a single day late, there is no grace period in the law.

A pay or quit notice means pay in full or vacate. Your lucky the landlord hasn't filed for an eviction order.
