Can a general partnership company refuse to acknowledge a contract on the ground that the contract was not signed by all the partners? In the Articles of Partnership all partners agreed that any transaction amount that would be more than $5000 will need the consent of all partners however one of the partner have signed a contract amounting to $6000 without having the signatures of the other partners or without their consent for that matter.

    Hello s:

I don't know what you mean by not "acknowledge" a contract. Is he refusing to PAY for it? Is he refusing to let the contractors do their work? Is he threatening to quit? Is he threatening to sue the board of directors. Does he have authority to STOP the contract. Does he sign the checks? Have the contractors begun their work? Is the work finished, and they want to be paid?

    What?

The work has began, it's a cleaning service. The contract is done between the partnership company which consists of 5 partners and the cleaning service company but only one partner signed the contract to used the service. Now that the other four partners are unhappy that this contract was signed without their consent so can they refuse to acknowledge on the ground that the contract was not signed by all partners?
