Can the By Laws of a 501C3 organization be rewritten or do changes have to be processed through a Board approved amendment?

A 501C3 organization is it legal for a paid employee to also be a member of the Board of Directors?

The board of directors, or the incorporators at the time the non-profit corporation was organized, would have adopted the by-laws. The board of directors would have to adopt any amendment(s) to the by-laws.

Probably (assuming nothing in the by-laws is to the contrary), but depends upon the corporations act for the state in which the organization was organized.
