    For Ms Word 2007
Open Microsoft Word 2007 and create a new blank document. Click the "Insert" tab Click the "Picture" button and Select the *.PNG image you want to convert and click "Insert." Click the "Save" button in the upper-left corner. Name your new *.DOCX document, choose a save location that you can easily find later, and click "Save."

Thank you for you suggestion however that is not really the answer to the question because it is still an image un-editable, do you know of a way that it could be editable word file? I mean letters and words not images?

    Thanks a million in advance.

If the image file is an image of text, then you may be able to use an OCR program (lile Omnipro) to "read" it and convert it into text.
