    Unsigned contract waiver?
A small business company here in El Paso, TX asked me to create a website for them in 2010. During the initial meeting, they refused to sign a contract and refused to sign a waiver indicating they did not want to sign a contract.

Yet, they paid me half of the asking price to create and upload a website for them - which I did and that was all as per what I normally do if there's no contract. I let them know about this at the initial meeting.

When the website was created and made live online in November 2010, I thought that was it. For the next year they kept calling because the person administering the website didn't know what they were doing and kept demanding changes and updates (even a complete rewrite of the entire site). I'd send them a bill if I did anything - but they refused to pay.The website went offline in August 2012 - I don't know the reason.

So now a few days ago I get papers saying this company is suing me because they never had an operational website. I saved all email communications proving I worked on it and it was live and operational three weeks after the meetings in November 2010.

This company has no contract from me, nor the waiver. I know I should answer, but do I also include copies of the documentation showing I worked on it and it was live online? And should I include a copy of the original unsigned contract to show what is required from me and the client to create a website?

    Any help is appreciated.
