Better, but you should really keep the same question, and related forms of it, in the same thread.

A down payment usually means that there was an agreement (a/k/a "deal" or a "contract") according to which buyer promised to pay, according to certain terms, in exchange for seller's promise to do something, deliver something, perform some service, etc.

If the deal "fell through", who's fault was it. Or was the agreement completely formulated? These are some of the questions the answers to which would help us. Also, what state or country is this in?
