View Full Version : Can I disolve my s corp to avoid my sales tax assessment

First off, I realize this is wrong, but it's been a very tough few years and I could just use some straight up advice and a little compassion :). I just underwent a sales tax audit on my S corp and owe 74K. I've been struggling anyway and am basically forced to close the storefront (too much overhead) and run the biz out of the house. I'd disolve the S Corp to avoid the tax debt and start a new llc or something simple but keep the DBA, phone numbers, etc. Can this tax assessment come back and bite me in my "new" business? I simply can't afford to retain an attorney for the answers that's why I'm here. Thanks so much.

When it comes to tax collections, states can seuccessfulty peirce the corporae veil and hold the corporate officers responsible for the states not, paid.
