Is it OK to locate a 3' x 2' return air grill and duct (that will service a kitchen/living area) above a refrigerator where there is only two foot of clearance between the top of the cabinet that is above the refrigerator and the ceiling?

Most codes don't allow for a return in kitchen or bath areas.
