I am going to form an LLC in order to raise capital to fund a feature film. I reside in California. The money is going to be raised through a PPM in the West Virginia area (monies raised to be placed in an escrow account in a West Virginia bank?). The film is going to be shot entirely in West Virginia (all of production). Post -production will probably be in CA. Do I need to form the initial LLC in CA and then file as a foreign LLC in WV? Or should I do just the opposite? (file in CA when post production occurs). Is there any benefit to forming my LLC in say Nevada to avoid the high taxes of both CA & WV (e.g.- CA has a minimum franchise tax of $800).
Thanks,
