My suggestion would be to tell this guy how you feel. If he does turn you down, no worries. Don't act any different towards him, and the two of you will still remain friends. If all goes well, then he'll say yes and everything will be peachy.
As for the girl, you don't have to tell her how you feel about him. If he turns you down, chances are, he isn't going to go telling everyone about it, least of all this other girl. If the two of you begin dating, well, she can't really say anything, and it won't matter anyhow because the two of you will be together.
So, don't worry, and go for it.
