LLC company in MD

Hello,
I am going into Accounting practice's partnership with a CPA, I do have accounting background am but not a CPA. My other partner to be is a CPA. I have been told by this lawyer that I can only hold 49% shares in this partnership as I am not a CPA.
I do not agree with this as the amount of investment and the risk is equal and it is supposed to be an equal partnership - I would like an expert's viewpoint on this..
